What’s Keeping Your Board Awake?

Oct 28, 2026 Dess Digital Blogs

Boards today are expected to lead through uncertainty while maintaining trust, confidence and long-term value. At the Governance 2026 conference by The Chartered Governance Institute UK & Ireland (CGIUKI) held in London, England, one of the most engaging discussions focused on a simple yet powerful question. What is really keeping boards awake at night?

Moderated by Kerry Round FCG, the session brought together experienced governance professionals with expertise across board leadership, governance, legal risk and company secretarial practice. The discussion explored how governance professionals can strengthen board relationships, navigate increasingly complex challenges and help boards make better decisions with confidence.

Dess Digital was proud to sponsor Governance 2026 and exhibit at Booth 35, where we had the opportunity to engage with governance professionals, directors and company secretaries from across the United Kingdom and beyond.

Governance Professionals Are Trusted Strategic Advisers

One of the strongest themes throughout the session was that governance professionals have evolved far beyond their traditional compliance role. They are now trusted advisers who help boards understand complex issues, prepare for difficult conversations and ensure directors receive the information they need to make informed decisions.

Building credibility with directors requires consistent preparation and an understanding of both the organisation and the people leading it. When governance professionals anticipate questions, identify emerging issues and present information clearly, they become an essential part of effective board leadership.

Board Discussions Are Becoming More Complex

Modern boards face an expanding range of responsibilities. Alongside financial performance, directors must oversee cybersecurity, artificial intelligence, regulatory developments, organisational culture, geopolitical uncertainty and stakeholder expectations.

The panel highlighted that governance professionals play a critical role in helping boards prioritise these issues. Rather than overwhelming directors with information, they should present clear insights that support strategic discussion and better decision-making.

As governance expectations continue to grow, boards increasingly depend on structured information and effective governance processes to remain focused on what matters most.

Trust Is Built Before Difficult Conversations Begin

Trust was another recurring theme throughout the discussion.

Boards work best when relationships between directors, executives and governance professionals are based on openness, transparency and mutual respect. Difficult conversations become more productive when governance teams prepare early, identify potential concerns and create an environment where constructive challenge is welcomed.

Good governance is not simply about recording decisions. It is about helping boards have better conversations before those decisions are made.

Framing Matters As Much As Content

The way information reaches the board can significantly influence the quality of the discussion.

The panel encouraged governance professionals to carefully frame board papers, highlight strategic implications and present balanced information that enables directors to focus on key risks, opportunities and decisions.

Effective board papers should reduce complexity rather than add to it. Clear structure, concise messaging and well-organised information allow directors to spend more time discussing strategy instead of interpreting documents.

Alignment Between Leadership And The Board Is Essential

Successful organisations create strong alignment between executive leadership and the board without compromising the board’s independent oversight responsibilities.

Governance professionals often act as the bridge between these groups by ensuring expectations remain aligned, discussions stay focused and communication flows effectively.

When leadership teams and boards share a common understanding of priorities, organisations can respond faster to emerging risks while maintaining effective governance.

Technology Can Strengthen Governance

Although the discussion focused primarily on governance practice, it also reflected a broader shift happening across boardrooms.

As board information grows in volume, governance teams increasingly rely on digital platforms and intelligent technology to organise information, improve collaboration and support more informed decision making.

Technology cannot replace judgment. It can, however, help governance professionals spend less time managing documents and more time supporting the board’s strategic work. This reflects wider governance trends where boards are adopting digital tools to improve effectiveness while maintaining strong oversight and security.

Final Thoughts

The session reinforced that effective governance is built on trust, preparation, communication and sound judgement.

The question “What is keeping your board awake?” does not have a single answer because every organisation faces different challenges. However, boards that receive clear information, ask thoughtful questions and maintain strong relationships are far better equipped to navigate uncertainty.

For governance professionals, the message was equally clear. Their role continues to grow in strategic importance as organisations face increasing complexity. By helping boards focus on the right issues at the right time, they become key contributors to stronger governance and better organisational outcomes.
